Offered Securities
The securities being offered consist of a “Promise of Sale” certificate under Nicaraguan law and a Founder Golf Membership (the “Founder Membership”) in Club, a private, exclusive club situated along the Pacific Ocean in the municipalities of San Rafael Del Sur and Diriamba outside of Managua, Nicaragua (the “Community”). Each Unit is also known as a Founder Membership, and each purchaser shall be enrolled as a “Founder Member” in the Club.
Purchase Price
$350,000 (US) per Unit. No portion of the purchase price will be ascribed to the issuance of the Founder Golf Membership. All subscription proceeds will be deposited to Bancentro, Managua, Nicaragua. Seaside Mariana Spa & Golf Resort S.A., may elect to have the subscription proceeds used in developing the Property. Subscriptions are irrevocable and cannot be withdrawn, except as may be provided in the Subscription Agreement.
